Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Client", or "Property Owner") and Locami Ora SRL, P.IVA 13123420013, operating under the commercial brand "AlgoRent" ("Company", "we", or "us"). By accessing or using our website, platform, or services, you agree to be bound by these Terms in their entirety.

1. Acceptance of Terms

By accessing the AlgoRent website (algorent.it), creating an account on the Owner Portal, or engaging our property management services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Service Description

AlgoRent provides comprehensive short-term rental management services, including but not limited to:

• Property listing creation and optimization across multiple booking platforms
• Dynamic pricing powered by proprietary algorithmic models
• Guest communication, screening, and support
• Check-in and check-out coordination
• Property maintenance coordination and quality assurance
• Professional cleaning management
• Financial reporting and revenue optimization
• Regulatory compliance assistance (tourist tax, municipal registrations)
• Access to the Owner Portal for real-time performance monitoring

The specific scope of services provided to each Client is defined in the individual Property Management Agreement executed between the parties.

3. User Accounts

To access certain features of our platform, including the Owner Portal, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be compromised.

4. Fees and Payment

Our fee structure is detailed in the individual Property Management Agreement. General terms include:

• Management fees are calculated as a percentage of gross booking revenue, as specified in your agreement
• Additional services (e.g., professional photography, deep cleaning, emergency maintenance) may incur separate charges as agreed upon in advance
• Revenue distributions are processed according to the schedule specified in your agreement
• All fees are subject to applicable Italian VAT (IVA)
• Late payments may incur interest at the rate permitted under Italian law (D.Lgs. 231/2002)

We reserve the right to modify our fee structure with 60 days' written notice. Continued use of services after the notice period constitutes acceptance of the revised fees.

5. Property Owner Obligations

As a Property Owner engaging our services, you represent and warrant that:

• You are the legal owner of the property or have proper authorization to engage rental management services
• The property complies with all applicable local, regional, and national regulations for short-term rentals
• You have obtained all necessary permits, licenses, and insurance for short-term rental activity
• The property meets all safety standards, including fire safety, gas safety, and electrical certifications
• You will maintain adequate property insurance, including liability coverage for short-term rental guests
• You will promptly inform us of any material changes to the property or its legal status
• You are responsible for all applicable taxes on rental income

6. Intellectual Property

All content on the AlgoRent website and platform — including text, graphics, logos, icons, images, software, algorithms, and data compilations — is the property of Locami Ora SRL or its content suppliers and is protected by Italian and international copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any of our content without prior written consent. The AlgoRent name, logo, and all related trademarks are the exclusive property of Locami Ora SRL.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• AlgoRent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities
• Our total aggregate liability for any claims arising from or related to these Terms or our services shall not exceed the total fees paid by you to AlgoRent in the twelve (12) months preceding the claim
• We are not liable for damages caused by force majeure events, including natural disasters, pandemics, government actions, or other circumstances beyond our reasonable control
• We do not guarantee specific occupancy rates, revenue levels, or booking volumes

Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Locami Ora SRL, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your breach of these Terms or any applicable law
• Your property's failure to comply with applicable regulations or safety standards
• Any claim by a third party (including guests) related to your property
• Your negligence or wilful misconduct
• Any inaccurate information or documentation you have provided

9. Termination

Either party may terminate the service relationship as follows:

• By the Client: With written notice as specified in your Property Management Agreement (minimum 30 days unless otherwise agreed)
• By AlgoRent: With 30 days' written notice, or immediately in the event of a material breach of these Terms
• Mutual Agreement: At any time by written agreement of both parties

Upon termination, all existing bookings will be honoured and managed through their completion. Outstanding fees and commissions for bookings made prior to termination remain due and payable. Access to the Owner Portal will be maintained for 30 days following termination to allow data export.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Italian Republic, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the Courts of Milan, Italy. This clause shall not prevent either party from seeking injunctive or provisional relief in any competent court.

For consumers residing in the European Union, this choice of jurisdiction does not affect your rights under mandatory consumer protection legislation of your country of residence.

11. Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated to registered users via email at least 30 days prior to taking effect. The updated Terms will also be posted on this page with a revised "Last Updated" date.

Your continued use of our services after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of our services and notify us in writing.

12. Miscellaneous

• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Entire Agreement: These Terms, together with the Privacy Policy and your Property Management Agreement, constitute the entire agreement between you and AlgoRent.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
